Terms of Submission 

This website is maintained by Cargill, Incorporated (“Cargill”).  All submissions to Cargill, including but not limited to text, graphics, photographs, audio, and video ("Material"), are subject to the following terms.  By submitting Material to Cargill, you are accepting these terms.

1.  You represent and warrant that you own the Material and/or that you have the right to use and permit Cargill to use the Material as described in these Terms.  If any of your Materials are (or contain items that are) subject to copyright, patent, confidentiality, privacy, trade secret, or other restriction, you are certifying that you either hold such rights or that you have obtained permission from the owner(s) of such rights necessary for Cargill to use the Material as described in these Terms.

2.  You represent and warrant that to the extent there are any identifiable persons referenced and/or appearing in your Material, you have secured the written consent of all such persons to the extent such consent is legally necessary to allow Cargill to make use of the Materials as described in these Terms.

3.  You represent and warrant that the Material is accurate and true, and not defamatory and that any photographs or videos in the Material are in their original state and have not been altered by you other than for purposes of resizing or saving into a different format.

4.  You hereby grant to Cargill a world-wide, perpetual, royalty-free, non-exclusive, irrevocable right and license to publish, display, reproduce, distribute, sublicense, prepare derivative works of, perform, and otherwise use the Material, in whole or in part, in any manner or media format in furtherance of Cargill's purposes or activities as Cargill sees fit, including for purposes of general publicity or promotional advancement of Cargill and/or its products and services.

5.  You agree that Cargill is not obligated to make use of your Material (however, to the extent it does, you agree that no compensation is due to you because of such use).

6.  To the fullest extent permitted under applicable law, you agree to release, indemnify and hold harmless Cargill, its subsidiaries and their trustees, officers, employees, agents, successors and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees and costs) arising from: (i) your participation on this website and submission of Material; (ii) your violation (or alleged violation) of any of these Terms or of any rights of any third party (including but not limited to any claims of infringement or violation of any intellectual property or privacy rights), and/or (iii) the submission and/or use of your Material by or on behalf of Cargill as contemplated in these Terms.  You also agree that your obligation to indemnify Cargill will continue indefinitely following your submission of any Material.

7.  You represent and warrant to Cargill that you are at least 18 years old and have the legal right to contract in your own name and to enter into and comply with these Terms.

8.  You agree that these Terms and any and all claims relating thereto are governed by and construed in accordance with the laws of the State of Minnesota.  You agree that exclusive jurisdiction and venue for any claim or dispute with Cargill, its subsidiaries and their trustees, officers, employees, agents, successors or assigns relating in any way to these Terms and/or the Materials resides exclusively in an appropriate federal or state court located in Hennepin County, Minnesota.  You further irrevocably agree and expressly and irrevocably consent to the exercise of personal jurisdiction in those courts and waive any claims you may have regarding the venue and/or convenience of the forum.
